ICL acquires FUENTES, a specialty fertilizers company, leader in Spain

Tel Aviv, Israel, April 5, 2011 - ICL (TASE: ICL), a fertilizers and chemicals multinational company announced today the acquisition of Grupo Empresarial Agromediterránea, SL, the holding company of Antonio Fuentes Mendez SA ("Fuentes Fertilizantes"), the largest producer of specialty fertilizers in Spain, for an undisclosed price. The acquisition includes Fuentes soluble and liquid fertilizers pipeline, their production plants in Totana and Cartagena, as well as their warehouses in docks and logistics premises located in Southern and Eastern Spain. Fuentes sales in 2010 were approximately 109 million euros. As a result of the transaction, Fuentes and its subsidiaries will be part of ICL Fertilizer Specialties Division. ANNOUNCEMENT OF THE CHANGE OF CORPORATE NAME

FUENTES FERTILIZANTES, S.A. (Unipersonal Society) (previously : ANTONIO FUENTES MENDEZ, S.A.U.
In accordance with Article 289 of the Consolidated Capital Companies Act, it is known that the sole shareholder Antonio Fuentes Mendez, SAU has agreed to change the social name of it and from now on, will be Fuentes Fertilizantes SAU, and, accordingly, Article 1 of the Bylaws has been amended as follows:

Article 1 .- Name: The Company shall have the name of "FUENTES FERTILIZANTES, SA"
It will be governed by the present statutes and in matters not specified in there, by applicable law.
